    TERMS & CONDITIONS (B2B)

    1. Seller Identification

    These Terms & Conditions govern the sale of goods through the B2B online catalogue operated by:

    (“Seller”)

    Seller of record (contracting party and invoicing entity) is BusyKids Europe s.r.o.

    2. Scope (B2B only)

    This catalogue is available exclusively to business customers (legal entities and entrepreneurs). By placing an order, the Buyer confirms that it acts within its business activity. Consumer protection rules do not apply.

    3. Contract Formation

    Product listings are non-binding. A purchase contract is concluded upon written order confirmation by the Seller. The Seller may refuse or adjust an order (e.g., stock limitations, pricing errors).

    4. Prices & VAT

    Unless stated otherwise, prices are shown excluding VAT. VAT is applied according to applicable EU/Czech VAT rules and the Buyer’s VAT status. Shipping costs are calculated separately and displayed before order confirmation or agreed individually.

    5. Payment Terms

    Standard: bank transfer (prepayment).
    Optional (if enabled): online card payment / PayPal.
    The Seller may agree individual payment terms with approved partners.
    Goods remain the property of the Seller until full payment is received.

    6. Shipping & Delivery

    Shipping within the EU via GLS, PPL, DPD, DHL.
    Standard dispatch time: 2–3 business days after receipt of payment, subject to stock availability.
    The Seller may choose the carrier unless agreed otherwise. Delivery terms: DAP (EU) unless otherwise agreed.

    7. Transfer of Risk & Acceptance

    Risk of loss/damage passes to the Buyer upon handover to the carrier. The Buyer must inspect the shipment upon delivery. Any visible damage must be recorded with the carrier immediately. Transport damage claims must be reported to the Seller without undue delay, no later than 48 hours after delivery.

    8. Defects & Claims

    The Buyer must inspect the goods without undue delay after delivery. Hidden defects must be reported in writing without undue delay, no later than 5 business days after discovery. Remedy may include replacement, repair, or credit note at the Seller’s discretion.

    9. Limitation of Liability

    The Seller is not liable for indirect or consequential damages. The Seller is not responsible for delays caused by force majeure or circumstances beyond its control. Total liability shall not exceed the value of the affected goods.

    10. Data Protection

    Personal data are processed in accordance with GDPR and the Seller’s Privacy Policy.

    11. Governing Law & Jurisdiction

    These Terms & Conditions and all related legal relations are governed by Czech law. Disputes shall be resolved by the competent courts of the Czech Republic.

    12. Final Provisions

    The Seller may amend these Terms & Conditions. The version valid at the time of order confirmation applies.
